Subsequently, we require Representatives (company/individual) in the USA / Canada region who can easily communicate with our customers via email and telephone. This position will not in any way interrupt your present work/business; you can be handling this position while you run your usual daily office/work schedules.

Compensations:
1. 5 % commission on every completed transaction.
2. $4,100 monthly allowance to cover email/telephone bills.

MEMORANDUM OF UNDERSTANDING
This Memorandum of understanding is made and entered into by and between Xining Special Steel Co.,
Ltd,
hereinafter referred to as "Xining Steel Ltd", and My Name hereinafter referred to as
"Representative".


This memorandum of understanding is designed to define the relationship and agreement between
Xining Steel Ltd and Representative and this document "Signatory" will act as legal agreement
instrument of specifying responsibilities and accountability procedures between both parties.

Xining Steel Ltd is placing its client's trust and funds in your care, we are providing guidelines
and procedures that will promote the success of our business and deliver accountability to all.

Representative agrees to:
1. Communicate and work towards growth of both parties with mutual respect and integrity.
2. Communicate with customers via phone, email or mail.
3. Receive and process payment from our customers for outstanding invoices.
4. Remit 95% of payments received from customers to XiningSteel or any individual person or
company as required by XiningSteel Ltd
5. Maintain transaction records efficiently.

Compensation:
As compensation for the services rendered pursuant to this agreement, Representative is entitled to
5% pay on completion of every transaction plus $4,100 monthly allowance.

Termination:
Xining Steel Ltd may terminate this Agreement at any time by 30 working days written notice to the
Representative. In additi on, if the Representativeis convicted of any crime or offence, fails or
refuses to comply with the written policies or reasonable directive of Xining Steel , is guilty of
serious misconduct in connection with performance hereunder, or materially breaches provisions of
this Agreement, Xining Steel Ltd at any time may terminate the engagement of the Representative
immediately and without prior written notice to the Representative.

We, the undersigned have reviewed this Memorandum of Understanding and agree to adhere to the terms
specified in thisMemorandum of Understanding proposed by Xining Steel Ltd.
